ANZEA TERMS & CONDITIONS

Orders
ANZEA has a one-yard minimum order, and then in 1/8-yard increments.
All orders must be submitted in writing. When submitting a confirming order, it must be noted that it is for confirmation.
Please use the following methods for ordering fabrics and samples from ANZEA.

ANZEA pricing is available on our web site: www.anzea.com
Pricing is also available by calling or emailing our customer service department. Published prices are your net cost, F.O.B. Fort Worth, TX. Prices are subject to change without notice. Orders are shipped prepaid freight and added to invoice. Proforma invoices include estimated shipping costs.  All handling charges, shipping costs and applicable taxes will be included on the invoice.

Availability
ANZEA strives to provide the best possible lead time information.
In-stock fabric may be placed on reserve for 10 calendar days.
Fabric will be removed from reserve after that date without notice.
ANZEA reserves the right to discontinue any pattern or color without notice.
Lead times for large orders and special-orders begin from date of deposit receipt.

Payment Terms
First time orders are proforma, with payment in full before shipping.
Open account terms are net 30 days from date of invoice. Net 30-day account terms require an approved credit application and re-sale or tax exemption certificate.
If credit has not been established, payment is required prior to shipping.
Product will be held a maximum of 30 days after proforma invoice is issued.
Quantities over 500 yards or special orders require a minimum deposit of 50% which is applicable whether or not credit has been established. If credit is not established, payment of the balance is due before the order will ship.
ANZEA accepts major credit cards. Supply the name on the card, card type, card number, expiration date and billing zip code.
International wire transfers are accepted with an additional $28.00 processing fee.
Acknowledged orders represent the final agreement between ANZEA and the purchaser.

Shipment and Delivery
ANZEA ships most orders UPS ground which means delivery is normally made within 5 to 8 days depending on ship to location.   Shipping charges include a $15.00 cut fee per order.  Unless specified otherwise, ANZEA may await completion of an entire order before shipping or may make partial shipments.  We attempt to ship orders without cuts, however this may occasionally be necessary, with lengths exceeding ACT standards.
Additional charges may be invoiced for shipping errors because of wrong address.

Cancellations
Cancellations must be in writing and are not accepted if order has been cut or shipped.
Cancellations are not accepted on custom fabrics or special-order quantities.
Any acknowledged backorder not cancelled within 48 hours of being acknowledged is subject to a 35% cancellation fee.

Returns
No items may be returned without written authorization.  No returns may be made on lengths of less than 10 yards or in quantities over 50 yards.  Custom orders may not be returned.
All authorized returns carry a 35% restocking fee unless caused by product defect or incorrect shipment.  Requests for returns for any reason must be made within 30 days of invoice date.
Inbound and outbound freight is at the customer’s expense and the party returning the product is responsible for arranging the return.  Fabric must be received on a tube in same condition as originally shipped and within 30 days of return authorization.  After inspection, if goods are acceptable, credit will be issued to the customer’s account.  No fabric can be returned if any finishes have been applied.

Claims
All goods should be inspected upon receipt to ensure they are as ordered.  Any loss or visible damage to the packages must be noted on the delivery receipt.  ANZEA is not responsible for loss or damage during transit or storage.  Concealed damage claims must be filed within five days of delivery.
Claims relating to defective product or shipping errors must be submitted in writing within 30 days from invoice date.  Any returns for claims must be received within 30 days of return authorization. At that time replacement goods should have shipped. If that is not possible, an alternate fabric will be offered, or credit will be issued.  Failure to report claims within the allotted time frame constitutes full acceptance and waiver of all defects, errors or shortages.  No claims are considered after fabric is cut.

Product Expectations
ANZEA upholstery products are manufactured according to accepted industry standards as stated by the Association of Contract Textiles (ACT) standards when used under normal conditions (i.e. single shift operation) with proper maintenance and for the purpose intended.
All product is inspected thoroughly prior to shipping.  Slight variations in color and repeat may occur as no two dye lots or weavings are the same.  Do not match color based on website images.
If color match is critical, please request a cutting for approval at the time of placing the order.
Variances in weight and width may occur.  Fiber content may be changed by ANZEA without notice.  Available textile finishes are listed on the samples and on the website.  ANZEA reserves the right to use alternative finishes with comparable performance characteristics.
Wyzenbeek rating over 100,000 double rubs is not an indicator of increased lifespan.

Limit of Remedies
ANZEA’s responsibility is limited to either replacement of the fabric or refund of purchase price at ANZEA’s discretion. Under no circumstances will ANZEA be responsible for any consequential damages, charges, costs of reupholstering or other obligations.

Custom Fabric Requirements
Custom textiles and custom colors are sold in full roll increments only.  Minimums for custom products are on an individual basis.  Overage and underage of 10% must be accepted.
Payment in full is required prior to ANZEA ordering any custom fabrics.
No cancellations or returns are allowed on custom products.

Sampling and Upholstery Instructions
ANZEA’s fabric is sampled with the warp running vertically unless otherwise noted. Where the warp is running horizontally, “railroaded” is noted on the sample card.
It is the customer’s responsibility to inform their workroom of the direction they wish the fabric to be applied.  It is the customer’s responsibility to inform their workroom of the desired face-side of a reversible fabric.
